Divestment of Truvo's Dutch operations to European Directories to be completed in September following merger approval by Dutch Competition Authority  

• Dutch competition authority (NMa) has granted license for merger of
• operations in The Netherlands
• Completion expected in September 2008
• European Directories to acquire Truvo's Dutch operations
• Purchase price implies an enterprise value of 290m Euro

The Dutch competition authority (NMa) today approved the proposed transaction with European Directories in The Netherlands. The granting of a license by the NMa allows the sale of our operations in The Netherlands to proceed and recognises the benefits of the transaction to consumers and advertisers.
 
A positive advice has been obtained from the Works Councils of Truvo Nederland and De Telefoongids and completion is expected to occur in September 2008.
